Leah is a co-founder and partner of Clarity. She helps small companies succeed in all their life stages: formation, phases of growth and change, financing, and exits. Her focus is on entrepreneurship and closely held companies.
She advises clients on a broad spectrum of legal issues, such as contract negotiation and legal preparation for strategic expansion. She also advises directors and officers on their legal obligations and corporate matters in general.
Leah, who holds a degree in physics from Stanford University, also works with technology licensing and the laws that relate to technology development. She served as a contributing editor of the Michigan Telecommunications and Technology Law Review and has worked at Fermilab and Argonne National Laboratory.
In addition to growth companies, Leah has represented large institutions and major banks. Her experience includes a large number of commercial lending transactions and M&A deals. She has represented both buyers and sellers, with purchase prices ranging from under $50,000 to over $500 million.
Leah currently serves on the City Council of Warrenville, Illinois in the greater Chicago area. Having served in local government in various capacities over many years, Leah is always happy to help her legal clients in other jurisdictions work more productively with local governments.
Leah is based in the Chicago area and often travels to California and Washington, DC.

Sue C. Wang

Sue is a co-founder and partner of Clarity. She has a wide variety of corporate law experience, having done $6-7 billion in transactions over five years at her previous firm. She has mentored entrepreneurs at Startup Weekend and The Founder Institute.
Sue has substantial experience in reviewing and negotiating contracts of all kinds. In addition to drafting individual contracts, Sue has led legal diligence teams of up to eight attorneys in the course of buying and selling companies. She has represented both the buy-side and the sell-side, where she identified and contained legal risks (for the buy side) and helped companies prepare to be an attractive acquisition target (for the sell side).
Much (but by no means all) of Sue’s work has focused on the energy industry. Before she became a lawyer, Sue fell in love with clean technology while developing windfarms in Morocco. As a lawyer, she has helped many energy companies get financed, get licensed, or get bought. One of her wind energy financings won an industry award for Environmental Deal of the Year in 2007.
Sue has supervised numerous law firms around the world, including Singapore, Indonesia, Pakistan, China, and India, on issues as diverse as local tax, employment issues, loan collateral and local regulations. Domestically, she has managed local counsel in a dozen U.S. states.
Sue also advises clients on a pro bono basis. Amongst other projects, in 2009 she successfully represented a Zimbabwe political refugee in a hearing before a United Nations agency.
Sue earned her JD from the University of Michigan Law School, where she was a fully funded Clarence Darrow Scholar and elected to the Order of the Coif. She was also a contributing editor of the Michigan Law Review.
She is based in Washington, DC and travels to New York and California regularly.

Breeze Giannasio

Having spent years representing private equity funds, Breeze Giannasio has a clear sense of how parties on both sides of the table approach an equity investment. Through her M&A work, she has helped companies of all sizes execute their growth strategy.
Her private equity and investment fund clients have included venture funds, buyout funds, and emerging market funds, as well as industry-specific funds such as energy and health care. Breeze has managed equity transactions from start to finish, from drafting the initial private placement memorandum to helping craft tax-efficient exits. She has helped structure many funds and joint ventures, and she particularly enjoys helping first-time market participants understand the process.
Breeze has a broad-based background in terms of company formation, contract negotiation, corporate governance matters, and many other areas of corporate law. She has also advised clients on regulatory issues relating to the US Securities Act of 1933, the Investment Company Act of 1940, and the Investment Advisers Act of 1940.
Breeze brings an international perspective to her work, having represented clients located in India, China, Chile, Germany, the Netherlands, Canada, Mexico, and the Philippines. During college, Breeze wrote several chapters of Let's Go: Italy after exploring the country by Vespa. While at Harvard Law School, she received a grant to conduct research in Cuba.
In addition to her work as an attorney, Breeze is working on a masters degree in design. Her work has been featured in several magazines and blogs, including Washingtonian and Design*Sponge. Breeze has roots in Hawai'i and is currently based in Washington, DC.

Corwin Levi

Corwin Levi helps companies prepare for litigation and government investigations. Having worked with the consequences of system failures, Corwin has useful insights on how companies can set up robust compliance systems through good training.
He has worked with clients in both federal and state cases. His experience encompasses a wide range of civil and criminal legal activity, including fact-finding and discovery, working with expert witnesses, preparing clients for testimony before a grand jury, and preparing court documents such as discovery motions, motions for judgment, and habeas corpus pleadings.
Corwin is also interested in emerging fields of law, such as the laws of privacy and information use. Prior to entering private practice, Corwin clerked for Judge Magill on the Eighth Circuit Court of Appeals. He also served as an executive editor of the University of Virginia Law Review.
In addition to his legal work, Corwin also creates art. His work can be seen at Radio Sebastian and at various exhibitions.
